Terms of Service

These Terms govern your use of the MergedClaimed service ("the Service"), operated by Blackfortz Capital Ltd, a company registered in England and Wales under company number 16153268 ("we", "us", "our"). By creating an account or using the Service, you accept these Terms.

1. What we provide

MergedClaimed is a software service that helps UK companies prepare draft Research & Development (R&D) tax credit claims. The Service connects to your GitHub account to read engineering metadata, helps cluster that activity into HMRC-recognised "projects", drafts technical narratives using AI, and assembles a claim package you can review, edit, and submit yourself to HMRC.

We are a tool. We are not your tax adviser, accountant, or agent. We do not file claims on your behalf, do not communicate with HMRC for you, and do not represent you in any enquiry. You are responsible for the final content and accuracy of any claim you file.

2. Your account

You must be at least 18 years old and authorised to act on behalf of the company you set up in the Service. You're responsible for keeping your sign-in email and any connected GitHub credentials secure.

3. Your data and content

You retain ownership of all data you upload or generate through the Service, including company information, narratives you write or edit, and claim drafts. We process your data only to deliver the Service, as described in our Privacy Policy.

You grant us a limited, non-exclusive licence to process your data for the purpose of providing the Service to you. We don't use your data to train AI models.

5. No guarantee that HMRC accepts the claim

HMRC's decision whether to allow an R&D claim depends on facts and statutes outside our control. We cannot and do not guarantee that any claim you prepare using the Service will be accepted, in whole or in part. Acceptance depends on the actual technical work, the strength of your contemporaneous records, your competent professional's judgement, and HMRC's view at the time.

6. AI-generated content

The Service uses third-party large-language-model providers (see the sub-processor list in our Privacy Policy) to draft narratives. AI output may be inaccurate, incomplete, or fail to reflect the actual technical work. You are responsible for editing and verifying every AI-generated draft. We do not warrant that AI output is suitable for any particular purpose, including R&D tax claims.

7. Subscription and payment

Pricing is shown on our website. Subscriptions renew automatically until cancelled. You can cancel at any time from your account; cancellation takes effect at the end of the current billing period.

Where a "success fee" applies (e.g. a percentage of the credit amount), the fee is invoiced when you mark a claim as filed in the Service. You confirm the credit amount when filing; we trust your input. If HMRC later reduces or rejects the credit, success fees already paid are not refundable except where required by law.

Payments are handled by Stripe Inc. Your card data is processed by Stripe directly; we never see or store it.

8. Termination

Either party may terminate this agreement with 30 days' notice. We may terminate immediately if you breach these Terms materially, use the Service for unlawful purposes, or fail to pay fees due.

On termination, we will retain your data for 6 years (matching HMRC's record-keeping requirements) and then delete it, unless you request earlier deletion. You can export your data via email request at any time before deletion.

9. Limitation of liability

To the maximum extent permitted by law, our total liability to you in connection with the Service in any 12-month period is limited to the fees you have paid us in the 12 months immediately preceding the event giving rise to liability.

We are not liable for: (a) HMRC's decision to reject a claim; (b) any tax, interest, penalty, or charge HMRC imposes on you; (c) loss of profits, business, goodwill, or anticipated savings; (d) indirect or consequential losses; (e) loss or corruption of data caused by your action or that of a third party. None of this limits liability for death, personal injury caused by negligence, fraud, or anything that cannot be excluded under English law.

10. Indemnity

You will indemnify us against claims by HMRC or any third party arising from inaccurate information you provided, claims you filed that misrepresent your actual R&D work, or your breach of these Terms.

11. Confidentiality

We treat all data you upload — including engineering metadata, project narratives, financial figures, and AI conversation transcripts — as confidential. We don't disclose your data except as set out in our Privacy Policy or as required by law.

12. Service changes

We may update features at any time. Material changes that reduce functionality will be communicated by email at least 30 days in advance. Pricing changes apply only from your next renewal.

13. Governing law and disputes

These Terms are governed by the laws of England and Wales. Disputes will be resolved exclusively in the courts of England and Wales. Both parties must attempt good-faith resolution by email before issuing proceedings.
